Legal Specialist

The Legal Specialist is primarily responsible for overseeing and administering Harbor Capital's process for entering into contracts with all financial intermediaries and vendors; actively participating in Harbor's intermediary oversight program; overseeing a number of important corporate activities, including insurance, commodity pool operator status and affiliates; overseeing and administering the proof of claims process; and assisting with various filings, registrations and other matters.

 

Key Responsibilities

Contracts

  • Oversee and administer the contracting process for all Harbor entities, including development and maintenance of a contracts database
  • Conduct due diligence on potential counterparties and assess whether counterparty is appropriate
  • Ensure timely review of contracts by various departments at Harbor and facilitate contract review process
  • Draft, review, negotiate and revise contracts and amendments with financial intermediaries and vendors
  • Maintain contract files (both hard copy and electronic) and answer questions from Harbor employees regarding specific contract details

Intermediary Oversight

  • Participate as member of Intermediary Oversight Committee
  • Work with members of other departments to monitor and document oversight process
  • Conduct quarterly regulatory review of intermediaries

Corporate

  • Assist with preparation of Valuation Committee meeting minutes
  • Maintain Harbor affiliate lists; coordinate quarterly review of affiliates with parent companies

Insurance

  • Manage and coordinate annual insurance renewal process
  • Maintain all insurance policies
  • Make all required insurance filings

Commodity Pool Operator Activities

  • Assist with all quarterly and annual filings with NFA and CFTC
  • File documents as necessary
  • Ensure Harbor meets future CPO requirements

Investigation/Resolution

  • Conduct legal research as necessary
  • Review and respond to subpoenas, garnishments, notices of levy and other court orders

Proofs of Claim

  • Review, prepare and file documents (foreign and domestic)

Regulatory Filings

  • Assist over time with Form ADV filing
  • Assist as necessary with proxy and information statements

Records

  • Assist over time as a records director
  • Manage administrative functions associated with Harbor's document management system

Monitoring/Updating

  • Stay apprised of industry issues
  • Stay apprised of FINRA rules and regulations
  • Stay apprised of SEC rules and regulations

Team and Cross-Team Projects

  • Participate in team and cross-team projects as requested

Minimum Qualifications

  • Bachelor's Degree or equivalent
  • Five or more years of experience as a paralegal (or similar position) in a law firm or financial services firm (or combination of firms)
  • Experience with an investment adviser (preferably an adviser to mutual funds) and/or broker dealer preferred

  • Ability to work independently and manage multiple assignments
  • Ability to shift focus dependent upon the need of the department to support teamwork
  • Strong technical abilities in Microsoft Office (Outlook, Word, Excel, and PowerPoint)
